(g)Who is a contributory in winding up?

Under Section 2(26) of the Companies Act, 2013, a contributory is every person who is liable to contribute to the assets of a company in the event of its winding up. This includes present and past members (past members are liable only for debts incurred while they were members, and only if current members cannot satisfy the calls). Even holders of fully paid-up shares are technically deemed contributories, although they have no further obligation to pay.
