(f)What is a dormant company?

Under Section 455 of the Companies Act, 2013, a dormant company is one that has not been carrying on any business or operation, or has not made any significant accounting transaction, or has not filed financial statements and annual returns, during the two immediately preceding financial years. Such a company may apply to the Registrar to obtain the status of a dormant company and enjoys simplified compliance obligations (e.g., only two board meetings per year).
