XYZ Co. Ltd. had proper quorum at the start of the meeting. During business proceedings, some members departed, reducing the number present below quorum.
(i) Does departure of members after quorum is constituted invalidate the meeting?
Under Section 103 and general company law principles, quorum must be present at the commencement of the meeting and must be maintained throughout. If quorum is not present throughout the meeting, the proceedings that take place after quorum is lost may be challenged.
- General rule: if quorum is present at the start of the meeting and some members leave mid-way, the meeting does not automatically become invalid for business already transacted before quorum was lost.
- However: if quorum falls below the required minimum during the proceedings, the Chairman should adjourn the meeting — the meeting cannot continue to transact further business without the requisite quorum.
- For an AGM — if quorum fails after the meeting has started, the meeting is adjourned to the same day in the following week at the same time and place (or to such other day/time/place as the Board may determine).
- Business transacted before quorum was lost remains valid; only subsequent business is affected.
Conclusion: The departure of members mid-meeting does not retroactively invalidate business already transacted with quorum. However, further business cannot validly be conducted once quorum is lost; the Chairman must adjourn the meeting.
(ii) What is Quorum and the Statutory Minimum?
Quorum is the minimum number of members who must be personally present at a meeting to constitute it a valid, legally competent assembly capable of transacting business. Its purpose is to ensure that decisions are not taken by an unrepresentative minority of shareholders.
Under Section 103, where the AoA makes no provision for quorum, the default statutory quorum for a General Meeting is:
| Type of Company | Quorum (members personally present) |
|---|---|
| Private Company | 2 members |
| Public Company — up to 1,000 members | 5 members |
| Public Company — 1,001 to 5,000 members | 15 members |
| Public Company — more than 5,000 members | 30 members |
Key points:
- Proxies do not count toward quorum — only members personally present qualify.
- If quorum is not present within 30 minutes of the scheduled start time, the AGM is adjourned to the same day next week; an EGM requisitioned by shareholders is dissolved.
- The AoA may prescribe a higher quorum — but not one lower than the statutory minimum.
